AGREEMENT TO SUPPLY CHOCOLATES

   AN AGREEMENT made on this 29th Day of January 2020, BETWEEN Ms. Y, Age: 45 years, Gurugram Chocolates, J/09- BB, Sector 15, Gurugram (hereinafter called the “Seller”) of the one part AND Mr. X, Age: 30 years, Gurugram Chocolate Party Shop, B/01- Sector 42, Gurugram (hereinafter called the “Buyer”) of the other part.

 WHEREBY it is agreed as follows:

1. The seller will supply to the buyer 10 kgs of Heart Shaped Strawberry flavoured Chocolates, 10 Kgs of Heart Shaped Vanilla Buttercream flavoured Chocolates and 10 kgs of Heart Shaped Belgian chocolate flavoured Chocolates , according to the samples sealed in boxes with the seal of the seller and placed with the buyer and in the boxes sealed with the seal of the buyer and placed with the seller, on the terms and conditions hereinafter mentioned.

2. The total quantity of the Chocolates agreed to be supplied shall be delivered to the buyer on his shop on or before 12^th February 2020 from this date in such installments and on such dates as the buyer may from time to time order provided that such orders should be served on the seller at least on week before the date fixed for delivery of any installment.

3. The buyer shall pay for the chocolates supplied by the seller at the rate of Rs. 1000 per Kg. Payment for the ordered Chocolates shall be made by buyer to seller within one week of delivery.

4. If any Chocolate supplied by the seller is not according to sample, the buyer will have the option to be exercised within 3 days of delivery  of rejecting the whole quantity of chocolates and purchasing the same quantity of chocolates from market at the risk of the seller or accepting the same on such reduced rate of price as may be mutually agreed upon.

5. The time fixed for delivery of chocolates that is on or before 12^th February 2020, shall be regarded as the essence of the contract, and if the seller fails to deliver the chocolates on such date, the buyer may annul the whole of this contract and purchase the chocolate from any other person and claim the difference in price and any expenses and damages incurred by him from the seller.
